Terms of Service

Please read these Terms of Service carefully before using the Planaji platform. By creating an account or using the Services, you agree to be bound by these Terms of Service.


1. The Platform and Parties
  1. The Planaji platform, website (planaji.com), mobile applications and associated services (collectively, the "Platform") are owned, operated and controlled by Zithera Technology Pty Ltd ACN 648 689 169 ("Planaji", "we", "us" or "our").
  2. The Platform is designed to allow NDIS registered plan managers ("Customers") to manage participant NDIS plans, process invoices, manage subcontractors and support coordinators, and perform related plan management functions.
  3. "Services" refers to all features, functionality, software, mobile applications, content and related services provided by Planaji.
  4. These Terms of Service govern the relationship between Planaji and each Customer. By accessing or using the Services, you confirm that you have read, understood and agreed to these Terms of Service, our Privacy Policy, and any applicable Subscription Agreement.
  5. The Services are available only to entities and individuals operating within Australia. By using the Services, you confirm that you are accessing them from within Australia and are subject to Australian law.

2. Subscription and Access
  1. Access to the Platform is provided on a subscription basis. Subscription tiers, features and pricing are as set out in your Subscription Agreement or as displayed on planaji.com at the time of sign-up.
  2. Subscriptions are billed in advance on a monthly or annual cycle as agreed. All fees are in Australian dollars (AUD) and are exclusive of GST unless stated otherwise. GST will be added where applicable.
  3. You are responsible for ensuring that payment details are kept current. Planaji reserves the right to suspend access to the Platform where a payment is overdue by more than 14 days, following written notice to you.
  4. We grant you a non-exclusive, non-transferable, revocable licence to use the Platform solely for your internal plan management operations during the term of your active subscription.
  5. We may amend these Terms of Service at any time. For material changes, we will provide at least 30 days' written notice by email to your registered account address. Continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms of Service.

3. Data Ownership and Processing
  1. You retain ownership of all data you upload, create or generate within the Platform, including participant data, invoice records, documents and any other content ("Customer Data").
  2. You grant Planaji a limited, non-exclusive licence to access, store, process and use Customer Data solely for the purpose of providing and operating the Services, including technical support and maintenance. We will not use Customer Data for any other purpose.
  3. You are responsible for ensuring you have the appropriate authority and consents to upload any personal information — including NDIS participant data — to the Platform. You warrant that your use of the Platform complies with all applicable privacy laws and NDIS Quality and Safeguards Commission requirements.
  4. Planaji acts as a data processor in relation to NDIS participant personal information entered by plan managers. Each plan manager remains responsible as the data controller for how participant information is collected and used.

4. Your Obligations
  1. You warrant that you are a registered NDIS plan manager (or authorised representative) and that the Platform is being used for legitimate plan management purposes.
  2. You must not:
    1. Share login credentials between users — each user must have their own account;
    2. Provide false, inaccurate or misleading information through the Platform;
    3. Attempt to reverse engineer, decompile, disassemble or copy the Platform's source code or algorithms;
    4. Use the Platform to scrape, extract or replicate data for competitive or unauthorised commercial purposes;
    5. Interfere with the security or availability of the Platform or other users' access;
    6. Introduce malware, viruses or other harmful code to the Platform;
    7. Use the Platform for any unlawful purpose, including but not limited to money laundering, terrorist financing or fraud;
    8. Access or attempt to access another user's account or data without authorisation;
    9. Use the Platform in any way that would bring Planaji into disrepute or violate the NDIS Code of Conduct.
  3. You must notify Planaji immediately at support@planaji.com if you become aware of any unauthorised access to your account or any suspected security incident.
  4. Planaji encourages responsible disclosure of platform vulnerabilities. If you discover a security issue, please report it in good faith to support@planaji.com. We will not take action against good-faith security researchers.

5. Platform Availability
  1. Planaji targets high platform availability and will make reasonable efforts to ensure the Platform is available 24 hours a day, 7 days a week, except during:
    1. Scheduled maintenance windows (notified at least 24 hours in advance where possible, scheduled during low-usage periods);
    2. Emergency maintenance required to address security incidents or critical bugs;
    3. Events outside our reasonable control (see Force Majeure, clause 32).
  2. Planned maintenance notifications will be sent to your registered email address and displayed on the Platform where practicable. We will endeavour to schedule maintenance outside of business hours (AEST).
  3. Planaji commits to the following monthly uptime targets by subscription tier:

    Tier Monthly Uptime Target Service Credit (if target missed)
    Basic 99.0% 10% of that month's subscription fee
    Professional 99.5% 15% of that month's subscription fee
    Enterprise 99.9% 25% of that month's subscription fee
    Uptime is calculated monthly, excluding scheduled maintenance windows and events beyond Planaji's reasonable control. Service credits are applied to the following month's invoice upon written request and are capped at 100% of that month's subscription fee. Service credits are your sole remedy for downtime and do not affect your other rights under these Terms of Service.

6. Termination
  1. Termination by you: You may cancel your subscription at any time by providing 30 days' written notice to support@planaji.com. Access will continue until the end of the current billing period. No refunds are provided for unused portions of a prepaid subscription period unless required by law.
  2. Termination by Planaji: Planaji may suspend or terminate your access to the Platform, with written notice where practicable, if:
    1. You breach any provision of these Terms of Service or our Privacy Policy;
    2. Subscription fees remain overdue after a 14-day written notice period;
    3. You use the Platform for unlawful or fraudulent activities;
    4. Your account is subject to an investigation, litigation or government proceeding;
    5. We receive a valid direction from a law enforcement or regulatory authority;
    6. We discontinue the Platform or a relevant service tier (with 60 days' notice).
  3. Data export on termination: Following termination or cancellation, your Customer Data will remain available for export for 30 days. After that period, Customer Data will be securely deleted in accordance with our Privacy Policy and applicable data retention obligations. Planaji will provide reasonable assistance with data export upon request.

7. Intellectual Property
  1. All intellectual property in the Platform, including the software, design, source code, trademarks, logos and Platform content (excluding Customer Data), is owned by or licensed to Planaji. Nothing in these Terms of Service transfers any intellectual property rights to you.
  2. You may not copy, reproduce, distribute, publish, adapt or otherwise exploit any part of the Platform without our prior written consent.
  3. Third-party trademarks, product names and logos displayed on the Platform remain the property of their respective owners.

8. Confidentiality
  1. Each party agrees to keep confidential any non-public information of the other party disclosed in connection with the Services ("Confidential Information") and not to use or disclose it except as necessary to perform obligations under these Terms of Service, or as required by law.
  2. Customer Data constitutes your Confidential Information. Planaji will not disclose Customer Data to any third party except as described in our Privacy Policy or as required by applicable law.

9. Indemnity
  1. To the maximum extent permitted by law, you agree to indemnify and hold harmless Planaji (including its directors, officers, employees and agents) from and against any claims, liabilities, losses, damages, penalties and costs (including reasonable legal costs) arising from:
    1. Your use of the Platform in breach of these Terms of Service;
    2. Your breach of any applicable law, including privacy laws and NDIS obligations;
    3. Any false, inaccurate or misleading information you provide through the Platform;
    4. Your violation of any third-party rights, including intellectual property rights.

10. Limitation of Liability
  1. To the maximum extent permitted by law, Planaji's total aggregate liability to you for any claims arising under or in connection with these Terms of Service or the Services (whether in contract, tort, negligence or otherwise) is limited to the total subscription fees paid by you to Planaji in the three (3) months immediately preceding the event giving rise to the claim.
  2. To the maximum extent permitted by law, Planaji is not liable for any indirect, incidental, consequential, special or punitive damages, including loss of profit, loss of data, loss of business or reputational damage, even if advised of the possibility of such damages.
  3. Nothing in these Terms of Service excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded by law.

11. Force Majeure
  1. Planaji will not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including acts of God, natural disasters, pandemic, government action, power outages, internet infrastructure failures, or third-party service provider outages (including AWS or Firebase). We will notify you promptly and resume performance as soon as reasonably practicable.

12. General
  1. These Terms of Service are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales for any dispute arising under or in connection with these Terms of Service.
  2. If any provision of these Terms of Service is held to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
  3. These Terms of Service, together with the Privacy Policy and any applicable Subscription Agreement, constitute the entire agreement between you and Planaji in relation to the subject matter and supersede all prior agreements and understandings.
  4. A failure by Planaji to exercise or enforce any right under these Terms of Service does not constitute a waiver of that right.

  2. We will acknowledge complaints within 2 business days and aim to resolve them within 7 business days. If you are not satisfied with the outcome, you may contact the Office of the Australian Information Commissioner (OAIC) or the relevant state or territory consumer protection authority.
